欢迎使用 Sailink ERP（亿帆瀛 ERP）。本服务条款（「条款」）是您与亿帆瀛（Sailink Global）之间关于使用 Sailink ERP 及相关网站服务的法律协议。使用我们的服务即表示您同意本条款。
These Terms of Service govern your use of Sailink ERP provided by Sailink Global. By accessing or using our services, you agree to these Terms.
1. 服务说明 / Service Description
Sailink ERP 是面向亚马逊及跨境卖家的 SaaS 平台，提供销售分析、库存管理、广告优化、财务核算、Brand Analytics 洞察及 Seller Central 业务通知等功能。具体功能以您订阅的套餐及已授权的 Amazon SP-API 角色为准。
Sailink ERP is a SaaS platform for Amazon and cross-border sellers, offering analytics, inventory, advertising, finance, Brand Analytics insights, and Seller Central notifications, subject to your subscription and granted SP-API roles.
2. 账户与授权 / Accounts and Authorization
- 您须提供真实、准确的注册信息，并妥善保管账户凭据。
- 连接 Amazon 账户时，您须通过官方 OAuth 流程授权 Sailink ERP 访问所需的 SP-API 角色。
- 您确认有权代表所连接的 Amazon 卖家账户进行授权。
- 撤销授权后，我们将停止通过 SP-API 获取该账户的新数据，并按隐私政策删除或 anonymize 相关数据。
3. Amazon SP-API 使用约束 / SP-API Usage Restrictions
使用 Sailink ERP 连接 Amazon SP-API 时，您与我们均须遵守：
- Amazon Acceptable Use Policy (AUP)
- Amazon Data Protection Policy (DPP)
- Amazon Services API Developer Agreement / Solution Provider Agreement
特别地，您同意：
- 不得要求我们将 Amazon 信息用于 AUP 禁止的目的；
- 不得试图获取其他卖家未授权的数据；
- Brand Analytics 数据仅用于您自身账户的运营决策，不得转售或跨账户共享。
You and we must comply with Amazon's AUP, DPP, and applicable developer agreements. Brand Analytics data may only be used for your authorized account's business operations and must not be resold or shared across accounts.
4. 定价与付款 / Pricing and Payment
Sailink ERP 采用套餐制或按报价定制模式。Brand Analytics 及 Seller Central 通知等功能包含在相应 ERP 套餐中，或根据商务合同单独开通。具体价格以销售合同或官网「预约演示」后提供的报价为准。
Sailink ERP is offered via subscription packages or custom quotes. Brand Analytics and Seller Central notification features are included in applicable plans or enabled per commercial agreement. Contact us for pricing details.
5. 知识产权 / Intellectual Property
Sailink ERP 平台、软件、界面及文档的知识产权归亿帆瀛所有。Amazon 及相关商标归 Amazon 或其关联公司所有；我们不对 Amazon 商标主张任何权利。
6. 免责声明 / Disclaimer
- Sailink ERP 按「现状」提供；分析结果、预测模型及 AI 建议仅供参考，不构成投资或经营保证。
- 我们不对 Amazon 平台政策变更、API 中断或第三方服务故障承担责任，但将合理努力维持服务可用性（AUP §2.7）。
- 我们不对因您违反本条款或 Amazon 政策导致的账户限制承担责任。
7. 服务终止与数据删除 / Termination and Data Deletion
- 您可随时终止使用并撤销 SP-API 授权。
- 我们可在您违反本条款或 Amazon 政策时暂停或终止服务。
- 终止后，我们将按隐私政策删除或 anonymize 您的 Amazon 信息，法律保留要求除外。
8. 责任限制 / Limitation of Liability
在法律允许的最大范围内，我们对间接、附带、特殊或 consequential 损害不承担责任。我们的总责任不超过您就相关服务在过去十二个月内支付的费用。
9. 争议解决 / Dispute Resolution
本条款适用中华人民共和国法律。争议应首先通过友好协商解决；协商不成的，提交苏州市有管辖权的人民法院诉讼解决。
